Raquel Gómez is a senior associate in the Corporate and Mergers & Acquisitions practice within the Corporate Law Department at Garrigues, a firm she joined in 2018.

Her practice focuses on comprehensive corporate law advice and corporate restructuring processes for national and international clients.

She provides regular advice on:

• corporate restructurings — including mergers, demergers, global transfers of assets and liabilities, and conversions — at both national and cross border level;
• incorporating companies (newcos), acquiring shelf companies (shelfcos) and establishing branches;
• share capital increases, whether in cash, in kind, by offsetting credits or charged to reserves;
• share capital reductions, whether by returning contributions (pro rata or otherwise), restoring equity balance, or creating or increasing reserves, as well as derivative acquisitions of shares for subsequent redemption;
• matters relating to the composition and appointment of governing bodies, dividend policy and directors’ remuneration systems;
• assessing the transferability of shares, quotas and other equity interests;
• dissolution and liquidation processes;
• board secretarial support; and
• drafting, negotiating and reviewing commercial contracts.

She has experience in the Pharmaceutical, Biotechnology and Life Sciences; Agribusiness and Food; Family Business; Tourism and Hospitality; and Technology, Communications and Digital sectors.
