Garrigues-ICADE Chair presents the book ‘Capital companies: their interests and their conflicts’ on May 24

The book is a collective work in which renowned professors and lawyers, including several Garrigues professionals, have participated.

A new session of the Garrigues Chair on the Modernization of Company Law – ICADE will be held on May 24, 2022. On this occasion, in addition to conducting, in the first part of the meeting, the second session of the cycle entitled ‘European Company Law: analysis and new perspectives’, the book ‘Capital companies: their interests and their conflicts’, published by Tirant Lo Blanch, will also be presented. The book is a collective work in which the Garrigues professionals Fernando Vives, executive chairman, Álvaro López-Jorrín, Mónica Martín de Vidales, Pedro Portellano, Helena Prieto and José María Muñoz have participated, along with other professors, lecturers and lawyers.

The book brings together 17 works grouped under four thematic headings: conflicts of interest between shareholders and their company; conflicts affecting the company with its own directors; conflicts surrounding duties and rights relating to information; and issues concerning the corporate interest in specific circumstances such as the transfer of essential assets, corporate social responsibility and the perennial conflict between corporate interest and stakeholder interest. The works form part of a preliminary study of the purpose of companies and the long-term view.

The book’s approach is identical to the purpose of the Chair: to enhance knowledge through shared reflection among professionals with the capacity to construct, from their experience, broad visions and new solutions to classic problems.

The presentation of the book will be presided over by the dean of the ICADE Law School and professor of Corporate/Commercial Law, Abel Veiga, who will be joined by Mónica Martín de Vidales, partner, co-head of Garrigues’ Corporate Law and Commercial Contracts Department and co-director of the Garrigues Chair; Pablo Sanz, co-director of the Garrigues Chair; Elia Domingo, Managing Editor of Tirant Lo Blanch; and Antonio Roncero, chair of Commercial/Corporate Law at Universidad de Castilla-La Mancha and consultant partner at Ecija.

Analysis of European Company Law

The Garrigues-ICADE Chair is presenting the book as part of the second session of the cycle of 3 seminars on European Company Law: analysis and new perspectives. Specifically, the May 24 session, which will precede the presentation of the book, will address the following topics: Structural Modifications. Corporate Mobility and Restructuring. Tender Offers.

The seminar will commence with a keynote address by Enrique Maside, director of European Affairs on the Board of Directors of the Spanish Registrars’ Association. Next, a round table will be held with the participation of Álvaro López-Jorrín, partner, co-head of Garrigues’ Corporate Law and Commercial Contracts Department; Manuel Martínez, professor of Commercial/Corporate Law at CUNEF and partner at Eversheds Sutherland; Francisco Mercadal, professor of Corporate/Commercial Law at Universidad Autónoma de Barcelona; Adoración Pérez, professor of Corporate/Commercial Law at Universidad de Alcalá de Henares; Paola Rodas, professor of Corporate/Commercial Law at Universidad de Nebrija; and Ana Sala, partner at Cortés Abogados.
