Yue (Caroline) Xu, the senior associate of corporate department of Shanghai office, who is a dual-qualified lawyer admitted to the New York State Bar and the PRC Bar. She specializes in Foreign Direct Investment to China, Cross-border M&A, and General Corporate, with extensive expertise in handling complex transactions, risk management, and data privacy matters. Fluent in Mandarin and English, she has advised multinational clients covering the industries of media, warehousing and logistic, real estate, IDC, retail and trading etc. Caroline holds an LL.M. from Case Western Reserve University School of Law and an LL.B. from East China University of Political Science and Law.
Experience
Yue (Caroline) Xu worked at Garrigues from 2017 to end of 2019 and re-joined the firm at the middle of 2025. She is now the senior associate of corporate department of Shanghai office. Caroline has extensive experiences on:
- Advising PRC market entry strategies, assisting with entity setup and daily compliance (corporate governance, labor, commercial contracts, data compliance, dispute resolution etc.) of foreign invested entities within the PRC.
- Leading M&A transactions on analyzing and optimizing transactional structure, conducting legal due diligence, drafting and negotiation of transactional documents and providing post-transaction support to the transaction.
Prior to re-joining Garrigues Shanghai Office, she acted as the sole counsel for a multinational group and worked for a top tier PRC law firm.
