Victoria Cabezos Díez is a counsel in Garrigues' Corporate Department, Valencia office, where she practices in the areas of corporate, M&A and mercantile contracts.

She has extensive expertise in commercial and corporate advice to groups and domestic and international companies with presence in Spain, operating in different sectors, as well as in advising on transactions involving structural modifications, such as mergers and spin-offs.

She also provides recurring advice on corporate matters in M&A transactions and internal restructuring processes undertaken by these entities, and has been actively involved in their financing and refinancing processes.

Experience

Victoria is a counsel in the Corporate/Commercial Law Department of Garrigues since 2024, having joined the firm in 2008.

In her professional activity she has participated in M&A and restructuring transactions of great relevance and complexity, including:

Due diligence processes and regularization of pre- and post-closing contingencies.
Analysis and implementation of pre- and post-closing structures through the design and execution of restructuring operations such as mergers, spin-offs, asset transfers.
Drafting and negotiation of acquisition and joint venture agreements, together with the corresponding shareholders' agreements and investment agreements.
Advice on M&A transactions in various sectors and, in particular, related to the energy sector, together with the establishment of structures and the necessary financing for the operation of photovoltaic parks.

She also provides ongoing advice on contractual and corporate matters to various Spanish companies and international groups with presence in Spain, in particular:

Ongoing advice on company board secretaries.
Support and contractual advice in the day-to-day running of the companies, as well as in extraordinary and more complex matters such as strategic, distribution or agency agreements.

Finally, he has experience in advising in the context of financing and refinancing.
