Mónica Martín de Vidales is the partner in charge of the Corporate/Commercial Department at Garrigues, where she has spent her entire professional career after a period at Arthur Andersen and a period between 2001 and 2004 as general and board secretary of Telefónica Media, S.A. (and several companies from its group)—subsequently known as Corporación Admira and now Telefónica de Contenidos—formerly the parent company of the media group of Grupo Telefónica. She is currently the nondirector secretary and legal adviser to the board of directors of several Spanish companies.

Mónica specializes in corporate/commercial law, especially general commercial contracts and company and corporate law as they relate to private and listed companies alike. She has solid experience in M&A transactions involving private and listed companies, working for industrial clients and private equity clients, and is also experienced in tender offers and privatizations.

As part of her M&A experience, she has participated in negotiating and formalizing agreements recording the sale and purchase, merger and integration of companies or entities of various types, shareholder agreements and protocols, and joint venture and investment agreements. She has also managed engagement teams conducting legal due diligence reviews of national and international entities, and has coordinated the provision of advice on the above-mentioned agreements with agreements to finance acquisitions and regulatory merger control processes.

Mónica Martín de Vidales also specializes in the analysis, design and planning of commercial and regulatory aspects of processes to reorganize commercial groups at national and international level (coordinating such processes with law firms from other jurisdictions in cases involving groups with an international presence), and in both cases has coordinated with specialists from other practice areas affected by such processes, such as tax, employment, administrative or, in certain cases, antitrust.

As a member of Garrigues’ Corporate Governance working group, she has participated in various internal corporate governance projects. She is also involved in the firm’s Banks and Savings Banks working group in light of her experience in the restructuring of the Spanish financial system from a commercial standpoint and from the perspective of regulating financing institutions.

Mónica Martín de Vidales has featured in various guides, such as Iberian Lawyer, Best Lawyers in Spain and Chambers&Partners with respect to the M&A corporate/commercial practice area. She was included in the Chambers Europe edition of Chambers&Partners from 2009 to 2012, as part of the team of commercial M&A  experts singled out for praise by the guide, which also classified Garrigues as a recommended firm for transactions of this kind in Spain. She has been named in the new ranking of the Top 50 women in the legal industry in Spain and Portugal published by Iberian Lawyer.

She has been an associate lecturer at Universidad Pontificia de Comillas (ICADE E-1) since 2011, teaching commercial law-related subjects. She also lectured on commercial contracts in the Business Law Master’s course organized by Centro de Estudios Garrigues.

Mónica Martín de Vidales is a member of the Madrid Bar Association.

Moreover, she is a regular speaker at the firm’s seminars and conferences, organized internally or for public bodies and private companies, and at seminars for associations representing several business sectors.
