Alejandro is a member of the Mergers and Acquisitions, Corporate Governance and Compliance practices at Garrigues in Mexico. His work focuses on cross-border corporate transactions, in which he advises foreign investors, multinational groups and private equity funds on their investments in Mexico.
He has experience in structuring, negotiating and executing acquisitions, joint ventures, corporate reorganisations and divestments. This includes negotiating sale and purchase agreements and shareholders’ agreements, as well as multi-jurisdictional due diligence exercises. He has particular knowledge of the automotive, pharmaceutical, industrial real estate, food and retail sectors.
In corporate governance, he advises boards of directors and shareholders on shareholder disputes, changes of control and strategic exits. In compliance, he designs anti-money laundering and anti-corruption programmes and takes part in internal investigations.
He holds a Law Degree from Universidad La Salle, where he also completed a Postgraduate Specialisation and a Master’s Degree in Corporate Law. In addition, he holds an LLM from the London School of Economics (LSE).
Experience
Alejandro García’s professional experience encompasses acquisitions, disposals, joint ventures and corporate restructurings involving business groups from the United States, China, Germany and Colombia, among others. These transactions have largely been linked to the development of industrial projects in Mexico and abroad.
Highlights include advising a US private equity fund on the acquisition of several companies in Mexico, including a US$750 million transaction. He was involved in that transaction from the signing of the letter of intent (LOI), through the due diligence process, to the signing of the share and asset purchase agreements. He also advised an international pharmaceutical company on the corporate restructuring of more than seven of its Mexican entities, with an estimated value of US$600 million.
In relation to joint ventures, he acted for a Chinese automotive manufacturer in a US$450 million joint venture with a German partner to develop a vehicle manufacturing plant in Coahuila. He also acted for a Colombian company in a 50:50 joint venture to develop a new business in Mexico. In addition, he acted for an international group in its joint venture with a Mexican corporate group to build a manufacturing plant in Guanajuato.
In the field of industrial investment, he was involved in the US$450 million expansion of a leading company’s manufacturing operations in San Luis Potosí. He also acted for a US automotive company on the acquisition of the assets of a brake business in Ciudad Juárez, Chihuahua.
In corporate governance and compliance, he has supported multinational groups through changes of shareholder control, contributing to the stability of their governing bodies. He has also carried out risk assessments and developed remediation plans arising from internal investigations. This combination of transactional and regulatory experience enables him to address the corporate and compliance aspects of each transaction in an integrated way.
