Ana López is a Principal Associate in the Dispute Resolution Department: Litigation and Arbitration at Garrigues since 2009. She specializes in complex business disputes, with focus on civil and commercial litigation, and national and international arbitration (CAM, CIMA, ICC).
She advises multinational companies in the distribution and consumer goods sector, financial institutions, investment funds, listed companies, and international insurers, both at pre-litigation and litigation stages. She has extensive experience in complex disputes involving distribution, agency, and franchise agreements, unfair competition, corporate conflicts, enforcement of guarantees, and asset recovery, with high presence in the distribution, real estate, and energy sectors.
She leads the defense of clients before judicial and arbitral tribunals, designs pre-litigation strategies, and manages complex negotiations. She has acted as an Independent Expert in disputes between international companies.
She holds a degree in Law and Business Administration (ADE) from the Universidad Complutense de Madrid, with studies in Business Law (Garrigues and Harvard Law School) and International Finance (UC Berkeley)
Experience
Ana López joined Garrigues in 2009, where she is currently a Principal Associate in the Dispute Resolution: Litigation and Arbitration Department. She regularly advises and represents domestic and international companies, financial institutions and investment funds in civil, commercial and arbitration proceedings of high complexity and economic significance.
She leads the design and execution of the legal strategy in complex business disputes, both in pre-litigation and litigation phases, with a particular focus on disputes in the distribution and consumer goods, real estate and energy sectors. She has extensive experience in distribution, agency and franchise relationships, unfair competition, as well as real estate disputes, corporate controversies, contractual breaches, enforcement of guarantees and recovery of operating assets.
She possesses particularly relevant experience in managing complex negotiations, in which she has repeatedly reached satisfactory agreements in an agile and efficient manner. She has led and actively participated in judicial and arbitration proceedings at both domestic level (CAM, CIMA) and international level (ICC), in multi-jurisdictional contexts, with a high technical component and significant economic impact.
- Representation of a leading multinational in the large-scale distribution sector in a strategic litigation on the legality of additional payments under the Food Supply Chain Law, with a significant economic and regulatory impact.
- Advice and representation of a leading franchisor in the distribution sector against a claim flied by one of its franchisees and strategic partner, relating to a highly significant indemnification claim for alleged breaches of the economic conditions of the franchise.
- Representing a major manufacturer of electronic devices in legal proceedings brought by one of the leading distributors in the technology sector, relating to a claim for compensation for clientele based on the analogous application of the agency contract regime to a distribution relationship.
- Advice and representation of a leading multinational in the distribution sector in a dispute with a strategic partner, relating to the challenge of resolutions of the board of directors due to their negative impact on the business network, as well as in the parallel action to comply with the shareholders' agreement signed with said partner.
- Representation of an international financial institution in a corporate dispute relating to the challenge of corporate resolutions due to abuse of majority against the minority, in connection with a statutory amendment that prevented its recognition as a shareholder.
- Representation of a Portuguese bank in a particularly complex corporate dispute relating to the recognition of pledges on shares of a Spanish company, given its refusal to recognize and register them in the shareholders' registry.
- Representation of a Spanish listed company against a claim filed by a former CEO of the same, as well as in the claim by said company for the variable remuneration received by said former CEO (clawback).
- Representation before the commercial courts of a well-known franchising company, in an unfair competition procedure for inducement to breach of contract and clientele misappropriation by its competitors.
- Representation of a first-level insurance company in a real estate dispute of high relevance against a public company, relating to the resolution of a long-term surface right and the corresponding compensation claim.
- Representation of an international investment fund in a dispute over the extinction of the right of usufruct of a strategic operating asset, as well as in the defense against a claim aimed at preventing the recovery of said asset and the payment of the variable price component allegedly associated therewith.
- Advice and representation of an international investment fund in the negotiation and transfer of a top-tier hotel asset in Spain, affected by ongoing litigation, including legal defense in said legal proceedings.
- Representation of a leading technology, defense and communications listed company in a domestic arbitration (CAM) regarding the determination of the variable price (earn-out) arising from a share purchase agreement.
- Representation of a major multinational group in a domestic arbitration (CAM) in relation to the termination of a purchase and sale agreement on a future construction to be built in a commercial park, under a development scheme by the seller-developer.
- Representation of a Spanish construction company in a domestic arbitration (CIMA), initiated by a former shareholder, regarding the challenge and nullity of certain shareholder registrations in the shareholders' registry, as well as the application for registration of new shareholders.
- Representation of a company in the energy sector in an international arbitration (ICC) in relation to the delay in the construction of different photovoltaic plants in Spain.
- Acting as Independent Expert in the framework of a dispute between important foreign companies regarding the purchase and sale of various photovoltaic plants.
Prior to joining the firm, she worked at Banco Santander’s headquarters in New York, where she was a member of the Group’s Corporate Development department.
