José María Gil-Robles is a partner in the Mergers and Acquisitions team of the Corporate/Commercial Department of the firm, being one of the partners in charge of the Private Equity, Hedge Funds and Distressed M&A groups.
As part of the Private Equity team, he advises on tax and legal structuring of investments and divestments in domestic and foreign companies, due diligence processes and the drafting and negotiation of typical transaction agreements (investment, sale and purchase, shareholders’ agreements, financing agreements, agreements with the management team, etc.) -be they leveraged buyouts, sales to other sponsors, recapitalizations or the disposal of businesses undergoing insolvency proceedings or reorganizations of corporate groups- typically advising the investors, but also the divesting shareholders or the management team.
Within the Distressed M&A group, he regularly advises hedge funds and other distressed players in the sale and purchase of credit portfolios (performing or non-performing, with or without in rem guarantees), corporate debt, shares in insolvent (or near insolvent) companies, regional or local authorities' debt vìs-a-vìs pharmaceutical or construction companies or financial investors (institutional or retail), as well as on the granting of hybrid financing to Spanish companies, debt refinancing and operational restructuring.
Prior to joining Garrigues, he worked as a financial analyst and portfolio manager at Inversiones y Estudios Financieros, S.A. (SAFEI) (1987-1989), as well as an auditor of energy companies at Arthur Andersen (1989- 1990), In 1990, he joined the firm as part of the Financial Tax Department, and later on as part of the Corporate/Commercial Department. Between 2007 and 2009 he was the partner in charge of the London office but is now based in Madrid. He has been singled out as a leading private equity and corporate M&A practitioner by international directories such as Chambers, Who’s Who, Practical Law Company, European Legal Experts, Legal 500 and Best Lawyers.
José María has participated in numerous Spanish and international forums as conference speaker. He also has vast teaching experience, having been a lecturer in the Masters in Tax Practice and the Executive MA Degree in Tax Advisory Services at Centro de Estudios Garrigues, where he has also lectured on distressed investment and serves as the co-director of the Executive MA Degree in Corporate Finance, and currently contributes as a speaker to the Insolvency Program organized by the Foundation for the Research of Law and Business (Fundación para la Investigación sobre el Derecho y la Empresa -FIDE).
Also, José María regularly lectures in conferences on distressed investment and corporate reorganizations, having lectured and taken part in recent years on the following: “Investing in Distressed Debt” (IIR; London; 2008 to 2010), “Distressed Investing in Europe” (Renaissance Global Management; London; 2009), “European Distressed Credit Investing” (Information Management Network; London; 2009), “Legal and Financial Challenges of Distressed Debt Transactions” (IFAES; Madrid; 2011) and “Reforms to the Insolvency Law” (Instituto de Fomento Empresarial; Madrid; 2011), as well as on courses and conferences on corporate reorganizations and M&A staged by the "Association for the Management Progress" (Asociación para el Progreso para la Dirección -APD), ESADE and IRR.
