Erkuden Urdaci is a senior associate in the Corporate/Commercial Law Department of Garrigues. Her professional practice centers on matters relating to commercial contracts, corporate law, M&amp;A, corporate governance, structural modifications, securities market law and real estate law.

She holds a Degree in Law and Business Administration from Universidad de Navarra (UNAV) and an LL.M. (Master of Laws) in International Transactions from Centro de Estudios Garrigues in collaboration with Fordham School of Law (New York). 

Additionally, she teaches classes on Corporate Law for the Master’s Degree for Access to the Legal Profession at Universidad Pública de Navarra.

Erkuden Urdaci is a senior associate in the Corporate/Commercial Law Department of Garrigues, having joined the firm in 2020.

Her experience spans various areas of corporate/commercial law, with a particular focus on:

• Corporate law: she regularly provides ongoing legal advice to managing bodies (including those of publicly traded companies) regarding compliance with their legal obligations, manages the secretarial duties of boards of directors, and prepares for and attends shareholders’ meetings.

• Commercial contracts: she prepares, negotiates and drafts a broad range of commercial agreements.

• Corporate governance: she has experience preparing and updating bylaws and board and shareholders’ meeting regulations, as well as drawing up reports that are required or recommended in this area (annual corporate governance reports, annual reports on directors’ remuneration, follow-up on recommendations, among others).

• Structural modifications and M&amp;A: she regularly participates in sales and purchases of domestic and international companies (shares or assets and liabilities), as well as in conducting and coordinating due diligence reviews.

• Securities market law: she has experience advising issuers on their periodic reporting requirements, treasury stock, significant holdings, disclosures to the CNMV and issues related to market abuse and inside information.

• Real estate law: she works on transactions relating to property sales and development, condominium division, declarations of new construction, as well as on drafting and negotiating lease and construction agreements.
