Felipe Martínez-Caballero Govantes is a counsel in the Corporate/Commercial Law Department. He joined Garrigues in 2004 and has spent the majority of his professional career at the firm, following stints at Cuatrecasas (2000-2004) and London firm John Howell Solicitors (1998-2000). He holds a Degree in Law from Universidad de Navarra and has studied at IESE Business School (PDD).
He has extensive experience in the areas of corporate law, commercial contracts and M&A, advising domestic and international clients and groups from a range of sectors (food & beverage, education, retail fashion, family business, healthcare, start-ups and technology, among others).
Married with seven children.
Experience
Counsel since 2014 (joined 2004).
As a member of the M&A department, he has participated in many major corporate acquisitions and disposals, advising on the negotiation and formalization of sale and purchase contracts, shareholder agreements, joint ventures, legal due diligence reviews and corporate restructuring processes in general, leading and coordinating multidisciplinary teams across different jurisdictions as part of these processes.
He also provides ongoing advice on the drafting and negotiation of commercial contracts (distribution, agency, supply, franchise, consumer contracts, etc.) and on aspects of corporate governance and board secretary services.
- Among other deals, he has participated in the following acquisitions/sale of companies, advising domestic and international business groups and private equity firms, as well as private clients:
- Advice to the PSA Group on the €2.2 billion purchase of Opel and Vauxhall from General Motors.
- Advice to the Great Hill Partners fund on the sale of 100% of Educaedu.
- Advice to the Mutua Madrileña Group on the acquisition of a stake in El Corte Inglés and El Corte Inglés Seguros.
- Advice to the Mutua Madrileña Group on the acquisition of the underground car park business of FCC.
- Advice to the Riverside fund on the acquisition of HealthTech BioActives (HTBA) from the Ferrer Group.
- Advice to an international group on various business acquisitions related to the packaging sector.
- Advice on the global acquisition by Watlow of Schneider’s temperature sensor division.
- Advice to the Luxottica Group on the acquisition of 100% of Multiopticas Internacional and Sun Planet (now known as Sunglass Hut).
- Advice to the Lactalis Group on the acquisition of the Forlasa Group, Sanutri and El Castillo Debic.
- Advice to French group SEB on the acquisition of 100% of Zummo Investments.
- Advice to the Marie Brizard Group on the sale of Bodegas Marques del Puerto.
- Advice to DeA Capital on the acquisition of a majority holding in Pizzerias Carlos.
- Advice to the MAHOU-San Miguel Group on the acquisition of a majority holding in Aguas de Orotava.
- Advice to an international food group on the acquisition of a significant number of supermarkets in Spain.
- Advice to JLL España on the sale of its subsidiary, JLL Valoraciones, to the ATValor Group.
- Advice to Mr. Juan Miguel Velasco and a group of minority investors on the sale of 100% of cybersecurity firm Aiuken.
- Advice to Sellsy (controlled by the PSG fund) on the acquisition of 100% of Quipu App.
- Advice on the sale of a majority holding in Formación Alcalá to the ACON fund.
- Advice to Younger Optics on the acquisition of Indizen Optical Technologies, S.L.
Felipe is fluent in Spanish and English.
He forms part of various working teams at Garrigues in the areas of innovation and process digitalization. He also participates in training initiatives for newly-qualified lawyers.

Teaching activity
He is a regular speaker at seminars and training sessions organized by the Firm and by clients on aspects relating to corporate acquisitions, due diligences and disposals and to commercial contracts.
