Aida González is a counsel of the Corporate/Commercial Law Department of Garrigues, where she practices in the areas of securities markets, mergers and acquisitions, and corporate law and commercial contracts. She has extensive professional experience in issues of securities representing share capital and debt instruments and in innovative M&A deals. She also provides recurring advice to companies on corporate governance matters and commercial contracts, with extensive expertise in advising listed companies. Additionally, she participates in the firm’s pro bono program, providing legal advice to non-profit entities. From 2011 to 2012 she was based at Garrigues’ London office. She holds a Degree in Law and Business Administration from Universidad Autónoma de Madrid.
Experience
Aida González joined Garrigues in 2007 and has been a counsel since January 2023.
She practices at the Corporate/Commercial Law Department, in particular, in the areas of securities markets, mergers and acquisitions, and corporate law and commercial contracts. She also has experience in banking and financial law.
As part of her expertise in securities markets:
- she provides ongoing advice to financial institutions and industrial clients on the issue of all types of securities representing share capital and debt instruments of all kinds (including preferred shares, shares with or without voting rights, bonds and convertible instruments) through public and private offerings.
- she has assisted in placing securities issues on secondary markets and multilateral trading facilities, both Spanish and international, and has advised medium-sized companies on their first foray into the capital markets.
- she has participated in IPOs and in the implementation of corporate governance systems at several listed companies.
She has also extensive experience in large and highly complex M&A deals in various sectors (insurance, industrial, consumer goods, among others):
- having participated in numerous processes for the acquisition of companies, businesses, and assets in bilateral and competitive processes.
- taking part in mergers and spin-offs of different types of companies.
- advising on tender offers, designing the structure and protecting the interests of the company.
She also provides recurring advice on corporate law and commercial contracts:
- mainly to listed companies, on matters relating to transparency, inside information, market transactions, adoption of corporate resolutions, the holding of shareholders’ meetings, corporate governance, corporate social responsibility, and rules of conduct.
- to unlisted companies, from their formation through the extinguishment of their legal personality, including ongoing advice on all potential legal requirements (such as updating the bylaws, capital increases and reductions, transferability of shares, shareholders’ agreements and board secretary duties).
- preparing, negotiating, analyzing and interpretating commercial contracts.
In addition, she has experience in project finance, having participated in transactions relating to the financing of renewable energy facilities.
She forms part of the pro bono practice at Garrigues, offering legal advice to associations, foundations, and non-profit entities on everything from formation of the entity to recurring advice on governance matters and contracts.
Between 2011 and 2012, she was based at Garrigues’ London office.
She is fluent in Spanish and English.
